Terms of Service

1. Acceptance of Terms

By accessing and using CodeHarmonic, LLC's ("Company," "we," "our," or "us") services, you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

CodeHarmonic provides custom web and mobile application development services, including but not limited to:

  • Custom web application development
  • Mobile app development (iOS and Android)
  • Native and cross-platform mobile solutions
  • Frontend and backend development
  • Database design and implementation
  • API development and integration
  • Technical consulting and architecture design
  • Maintenance and support services

3. Project Agreements

Specific project details, deliverables, timelines, and pricing will be outlined in separate project agreements or statements of work. These documents, along with these Terms of Service, constitute the complete agreement between the parties.

4. Payment Terms

Payment terms include:

  • Invoices will be sent via Stripe and are due within 30 days unless otherwise specified
  • Late payments may incur additional fees
  • Projects may require deposits or milestone payments
  • All fees are non-refundable unless specified in writing
  • Client is responsible for any bank fees or payment processing charges

5. Intellectual Property

Upon full payment, Client will own the custom code developed specifically for their project. However:

  • We retain rights to general methodologies, know-how, and techniques
  • Third-party libraries and frameworks remain under their respective licenses
  • We reserve the right to use general knowledge gained from projects in future work
  • Client must provide proper licensing for any third-party assets they wish to use

6. Client Responsibilities

Client agrees to:

  • Provide necessary information, assets, and access in a timely manner
  • Respond to requests for feedback and approval within agreed timeframes
  • Ensure all provided content is legal and properly licensed
  • Maintain appropriate backups of their data
  • Test deliverables and provide feedback during development phases

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of the project. This includes business processes, technical information, and any sensitive data.

8. Warranties and Disclaimers

We warrant that services will be performed in a professional manner. However:

  • No warranty is made regarding third-party services or integrations
  • Client is responsible for testing and accepting deliverables
  • We are not responsible for data loss not caused by our negligence
  • Performance may vary based on hosting environment and usage patterns

9. Limitation of Liability

Our liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

10. Project Changes and Scope

Changes to project scope may result in additional charges and timeline adjustments. All significant changes must be agreed upon in writing.

11. Termination

Either party may terminate the agreement with written notice. Upon termination:

  • Client is responsible for payment of work completed to date
  • We will provide completed work product upon full payment
  • Ongoing hosting or maintenance services may be terminated separately

12. Governing Law

These terms are governed by the laws of the State of Texas. Any disputes will be resolved in the appropriate courts of Bexar County, Texas.

13. Changes to Terms

We reserve the right to modify these terms. Significant changes will be communicated to active clients. Continued use of services constitutes acceptance of updated terms.
